We assisted a pharmaceutical group in a corporate finance transaction in respect of its Monaco subsidiary acting both as Borrower and Guarantor. Our work consisted in reviewing and amending the finance and security documents to make them enforceable from a Monaco law perspective and preparing corporate authorities (board resolutions, shareholders meeting minutes, etc.) in compliance with Monaco requirements on guarantees.
